  • 1. Is the Organisation a Private / Public Limited Company incorporated under Companies Act 1956/2013?
  • 1 A. Is the incorporated company in existence for at least one full financial year?
  • 2. Is the Business in existence for more than 3 years?
  • *Note: In case where the applicant company has taken over a proprietorship concern/ registered partnership firm/ LLP, then the track record together with such proprietorship concern/ registered firm/ LLP should be at least 3 years.

  • 3. Are the Net Tangible Assets of the business more than ₹3 Cr. for the last financial year? (Additional criteria on BSE SME)

  • 5. Is the Operating Profit at least ₹1 Cr. for any 2 out of 3 last financial years?
  • 6. Is the debt to equity ratio of the business less than 3:1? (Additional criteria on BSE SME)
  • 7. Has the Name of the organisation changed in the last one year preceding to the application for IPO?
  • 7 A. If the Name of the Organisation has been changed within the last 1 year, at least 50% of the revenue for the previous year has been earned from the activities carried out in the new name?
  • 8. Has there been any change in the Promoters of the company in the preceding one year? (Additional criteria on BSE SME)
  • 9. Are there any pending defaults in payment of interest or principal to bondholders, debenture holders, or fixed deposit holders?
  • 10. Are there any material regulatory/disciplinary action by a stock exchange or regulatory authority in the past 3 years?
  • 11. Has the company been referred to the BIFR (Board for Industrial and Financial Reconstruction) or no proceedings have been admitted under Insolvency and Bankruptcy Code against the company or the promoters?
  • 12. Has the Company's application been returned by the exchange/SEBI in the last 6 complete months?
